We are so excited to announce another client spotlight! This month’s spotlight is on the two ladies behind Simply Kate.

If you are looking for one of a kind handmade jewelry, do yourself a favor and stop in at
the Rockwall square’s newest store, Simply Kate. This shabby chic store has been a work in progress for 8 years. Simply Kate offers unique jewelry, women’s clothing, home décor, bath essentials, and shabby chic furniture. Not only is 95% of the jewelry handmade by Kaitlin Waller, co-owner, but local handmade soaps, bath bombs, sugar scrubs, and bath salts are also available.

You may recognize co-owner Dorothy Spradlin from her involvement with the Rockwall Chamber of Commerce, Rockwall Economic Development Corporation, and Rockwall Women in Business, among many other local and networking charity groups. The enthusiasm and positivity that these ladies bring to Simply Kate is both refreshing and contagious. We welcome them to the local small business community and wish them the best of luck in all of their endeavors!

We have assisted Simply Kate with LLC formation, reviewing their lease, and serving as general counsel as questions arise. It’s because of business owners like these that we continue to do what we do and why (we think) we have the best jobs around!

The ABCs of LLCs

Most business owners are lost when it comes to managing and understanding business entities. If you’re not, then you’ve probably done some extensive research at some point in time (or you have a great business lawyer on-call!).

Let’s set the record straight on the top three LLC questions that clients frequently ask:

1.  What exactly is an LLC?

LLC stands for limited liability company. A limited liability company is a product of state law, so how they are formed and how they are treated (by the state) after creation varies state-to-state. There are three legal ways to look at LLCs – from the state, from the IRS, and from the courts.

State.  When you create an LLC, what you’re really doing is asking the State to recognize this new entity as a legal “being” – it’s akin to filing for a birth certificate, but in a business sense. Once you’re certificate of formation is filed and accepted by the TX Secretary of State, congratulations! You are now the proud parent of a brand new LLC “baby.”

IRS.  Once the State has recognized this new entity, the IRS needs to know what to do with it. Because LLCs are creations of the states and vary between states, the IRS does not actually recognize LLCs as a new kind of creation. LLCs get to tell the IRS how to treat them for taxation (corporation, partnership, or sole proprietor). This is a decision that is best made with a tax professional, but does not affect the actual structure or daily operations of the company.

Client Spotlight: The Life House

We are very excited to announce our first client spotlight… This month’s spotlight is on the gang over at The Life House.

If you are looking for fantastic (organic) coffee or amazing (organic) pastries, sandwiches or omelets, The Life House is a local treasure. They sources many of their ingredients from local farms and promises never to use anything artificial. Syrups are homemade, bread is homemade, and the coffee is roasted on-site (for now, but they have big plans!).

The back of the charming converted house holds Life Disc Sports, which sells disc golf equipment. Life Disc Sports is also responsible for the design of several local and regional disc golf courses, including The Cedars at Fate, Wellington Disc Golf Course in Flower Mound, and Houston Oaks Disc Colf Course in Hockley.

Their newest venture, Chava Coffee Co., LLC, has assumed all of the companies’ coffee roasting. Chava sources seasonal, organic, Fair Trade™ coffee beans and roasts them in the garage behind the café. Chava Coffee Co. offers their phenomenal coffee beans in the Life House café and online. We have a feeling this is the start of something wonderful!

We’ve been with these companies through entity formations, contract drafting, employment advice, and other general business advice. It’s because of business owners like these that we continue to do what we do and why (we think) we have the best jobs around!
